DuPont and Dow announce U.S. site structure for agricultural company

first_imgShare Facebook Twitter Google + LinkedIn Pinterest DuPont (NYSE:DD) and The Dow Chemical Company (NYSE:DOW) announced the U.S. site structure for the global agriculture leader the companies intend to create following the planned separation of DowDuPont into three independent, publicly traded companies. The corporate headquarters for the Agriculture company will be located in Wilmington, Delaware and will include the office of the CEO and key corporate support functions. Sites in Johnston, Iowa and Indianapolis, Indiana will serve as Global Business Centers, with leadership of business lines, business support functions, R&D, global supply chain, and sales and marketing capabilities concentrated in the two Midwest locations. In addition, the independent Agriculture company will feature DuPont in the company’s name, following completion of the corporate naming and branding process.“This efficient structure takes full advantage of the unique expertise and resources that exist in each location, enabling us to deliver the long-term opportunity for the leading global Agriculture company we intend to create,” said Edward D. Breen, chairman and chief executive officer of DuPont. “Our deep presence in Iowa and Indiana will continue the close ties to our customer base and the broader Agriculture community, while leveraging the existing corporate infrastructure and expertise we have in Delaware — DuPont’s home for more than 200 years.”The structure of the Agriculture company was specifically developed to ensure the cost discipline and efficiency necessary to achieve the previously stated $1.3 billion in synergies, while establishing the strongest foundation possible for sustainable growth over the long term — which will in turn create long-term opportunities for the company’s global employee base and local communities. This structure enables the intended independent Agriculture company to consolidate DuPont’s and Dow’s complete Agriculture capabilities across seed and crop protection in three primary locations, which is integral to achieving the planned synergies.“We want to thank the leaders of each state for a highly constructive, cooperative process to achieve the best possible approach that leverages key advantages in each location. As we advance plans for the intended merger, DuPont and the state of Delaware are committed to leveraging our respective science infrastructures and competencies to nurture the emerging science and technology innovation hub in the state,” Breen said.“The proposed combination of Dow’s and DuPont’s agricultural businesses will create a U.S.-based global leader with the scale and breadth necessary to deliver greater value and choice for growers worldwide and compete against the largest global competitors,” said Andrew N. Liveris, chairman and chief executive officer of Dow. “Combining each company’s strengths in science and R&D, with increased global market access, enables greater opportunity for innovative new solutions in both seed and crop protection. The headquarters location of the Agriculture company being announced as Wilmington, with global business centers in Indiana and Iowa is consistent with the intended headquarters of the Material Science company, to be named Dow, being headquartered in Midland, Michigan, but having global business centers in other U.S. and global locations.”“Today’s announcement is another step toward our creation of a leading global agriculture company. The intended Agriculture company will be highly focused, stronger, more competitive, more resilient and better equipped to deliver growth and long-term, sustainable value than either DuPont or Dow could deliver on its own. Both companies have highly respected brands in the agriculture industry, such as Pioneer and Mycogen, which we will continue to build and leverage. Going forward, we will be better equipped to meet and exceed grower expectations for innovation in crop technology and agricultural services. We intend to bring a broader suite of products to the market, faster, to increase grower productivity and profitability,” Breen concluded. With the announcement of the intended Agriculture company site structure, each headquarters location of the three intended independent, publicly traded companies now has been determined.Agriculture Company: A leading global pure‐play Agriculture company that unites the Seeds and Crop Protection businesses from DuPont and Dow. The combined entity is expected to have the most comprehensive and diverse portfolio in the industry and a robust pipeline with exceptional growth opportunities in the near‐, mid‐ and long‐term. The complementary offerings will provide growers across geographies with a broad portfolio of solutions and greater choice. The Agriculture company will be headquartered in Wilmington, Delaware. In addition, the independent Agriculture company will feature DuPont in the company’s name.Material Science Company: A pure‐play industrial leader, consisting of Dow’s Performance Plastics, Performance Materials and Chemicals, Infrastructure Solutions, Consumer Care and Automotive Solutions (excluding the Dow Electronic Materials business) operating segments, as well as DuPont’s Performance Materials segment. The combination of complementary capabilities is expected to create a low‐cost, innovation‐driven leader that can provide customers in high‐growth, high-value industry segments in packaging, transportation, and infrastructure solutions, among others, with a broad and deep portfolio of cost‐effective offerings. The Material Science company will be headquartered in Midland, Michigan. In addition, the independent Material Science company will feature Dow in the company’s name.Specialty Products Company: A leading global specialty business focused on attractive secular growth markets where innovative science capabilities offer a clear competitive advantage. The company is expected to be composed of four strong businesses which include DuPont’s Nutrition & Health, Industrial Biosciences, and Protective Solutions businesses as well as the integration of DuPont’s Electronics & Communications business with Dow’s Electronic Materials business unit. The Specialty Products company will be headquartered in Wilmington, Delaware.Prior to the intended separation into three independent companies, DowDuPont will be dual headquartered in Wilmington, Delaware and Midland, Michigan. Both parties continue to plan for the closing of the transaction during the second half of 2016, subject to satisfying the necessary closing conditions including obtaining the required pre-merger regulatory approvals.last_img read more

Nimsoft Provides Visibility into the Cloud

first_imgNimsoft is launching a benchmarking service today for enterprise customers that will help them define and measure the actual costs of cloud computing and monitor the performance of IT infrastructure. The benchmarking service monitors the multiple systems of an enterprise and pulls them into a unified view. These include internal systems, managed service providers, and cloud-based and Software-as-a-Service investments. The service offers visibility on where to distribute workloads, identifies problems in the infrastructure and looks at performance metrics.Cloud computing is getting so much hype these days that chief executive officers are starting to ask a lot of questions. They want to know about using Google for email and other enterprise functions. The CIO does not always have an answer. That creates a shift in the relationship, forcing some answers about budgets and an examination of the actual costs of cloud-based services to internal systems.Nimsoft is offering benchmarking services for visibility into: Google Apps for Business, Rackspace Cloud, Amazon Web Services (AWS) and EC2, Salesforce.com, and other services.Nimsoft also provides similar services for visibility into virtualization environments. The service is offered in two packages. Customers can purchase a software package that is installed behind the corporate firewall. Alternatively, customers can work with one of Nimsoft’s partners that work on a SaaS model.Nimsoft does the benchmarks by running direct tests, such as sending batches of email to measure how long it takes the email to get to its destination. What the benchmark does is help define the service equation. The costs are pretty clear to understand, but the value of the service is another matter. If there are three outages in the span of the month, then the email system may not be worth the drop in cost. That’s some good information to have when making a decision about a SaaS provider. Sony TV, Ten Sports pose serious challenges to ESPN-Star

With the occasional exception of Doordarshan (DD) Sports, it has not had a real challenger. Now it may have two.On April 6, Abdul Rahman Bukhatir, the man who runs the Sharjah cricket circus, launches Ten Sports, his very own sports channel. That aside, Sony Entertainment Television has upstaged ESPN-Star for rights to the 2003 and 2007 cricket World Cups and the next three ICC knock-out trophies (2002-6). While Sony only confirms “advanced negotiations”, sources indicate the deal is through. In July 2000, the International Cricket Council (ICC) sold global rights for the World Cups and knock-out trophies to Global Cricket Corporation (GCC) for $550 million (Rs 2,640 crore). GCC is a consortium primarily comprising News Corp-media tycoon Rupert Murdoch’s flagship-and World Sports Group, a UK-based marketing firm.THREE CAN PLAY A GAMERupert Murdoch, STARBesieged Behemoth: With ESPN has men’s tennis, basketball, Formula 1.But if it loses five-nation CSI cricket deal, it’s on the ropes.Kunal Dasgupta, SONYGreat Gambler: Betting on cricket and possibly pay per view.Could show next World Cup on Set Max, AXN, even launch new channels.A.R. Bukhatir, TEN SPORTSDesert Dare: Cricket from Sharjah and Morocco.Has TV deals with Manchester United, WWF, women’s tennis, European golf tour.Since ESPN-Star is a south Asia-specific 50-50 partnership between Murdoch and media giant Disney, the World Cup rights were expected to flow to it.Not satisfied with the initial offer made by ESPN-Star-reportedly $120 million (Rs 576 crore)-GCC called in bids in November.advertisementSony, led by CEO Kunal Dasgupta, offered an astronomical $375 million (Rs 1,800 crore)- $265 million for the satellite rights and $110 million for the terrestrial ones. While ESPN-Star upgraded its offer, it is understood it was nowhere near Sony’s.There are murmurs that Disney-ESPN’s parent and an American entity with no great cricket focus-was not keen to make “unrealistic investments”.That ESPN-Star has reportedly lost $21 million (Rs 101 crore) in the past half-decade may have made it cautious. For News Corp, it was a tough call. The decision to sign with Sony, industry insiders say, was eventually made by Ian Frykberg, director of WSG and a long-serving Murdoch employee.Internally ESPN-Star estimates Sony may actually lose money-“as much as $100 million”-from the mega-deal it has agreed to. On his part, a Sony confidant sees cricket as a “hot property” that may pay for itself not just in terms of “advertising returns” but “perhaps in a pay-per-view format or as part of a direct-to-home system”.Ten Sports, owned by Bukhatir’s Taj Group, poses a more immediate challenge to ESPN-Star. Says Peter Hutton, who’s leaving TWI to join Ten Sports as head of programming, “If you look at other markets worldwide, Manchester United TV or the New York Yankees channel show you how sports bodies with key broadcast rights are looking to set up their own channels. You can see Ten Sports as an extension of this philosophy.”The channel will show cricket from Sharjah-a controversial venue India currently avoids-and Morocco where Bukhatir’s company has built a stadium in Tangiers. In August, the first Tangiers tournament will feature South Africa, Australia and Pakistan.DDholds the rights for cricket played in India till 2004. So ESPN-Star’s trump card has been bringing world cricket to Indian bedrooms. In 1998, it tied up with Octagon-CSI – which holds rights for cricket played in Australia, New Zealand, Zimbabwe, South Africa and, now, England – for a fiveyear contract worth $50 million. This agreement runs out at different times in different countries. The first series of the new contract is Australia in Zimbabwe, April 2002. Currently, Ten Sports and ESPN-Star are locked in a contest to partner CSI for the next five years. If the Murdochdriven network loses, life could get thorny. At ESPN-Star, it’s time for the slog overs.last_img read more
